Business & Corporate Law

We act as outside general counsel for owner-operated companies - the ones where the founders are still in the building and every contract matters to the balance sheet.

Our business clients tend to be between five and two hundred employees: contractors, medical and dental practices, agencies, distributors and manufacturers. They call us for the agreements that repeat - customer contracts, vendor terms, employment and contractor documents - and for the ones that happen once, like admitting a partner or selling the company.

Where a dispute cannot be negotiated out, we litigate it, including in the North Carolina Business Court. Clients are told early and candidly what a fight is likely to cost and what it is likely to be worth.

Matters we handle

Entity formation and operating agreements
Shareholder, partnership and buy-sell agreements
Commercial contracts and vendor terms
Mergers, acquisitions and business sales
Owner and shareholder disputes
Non-competes and trade secret protection
